Billingual Corporate Legal Counsel - Latam

**Skills required**:

- At least five years of relevant experience at an established law firm, a corporate legal department or a combination of the two
- Law degree together with required licenses and qualifications to practice law
- Strong verbal and written skills in English and Spanish
- Strong organizational skills with an emphasis on managing time, documents, projects and relationships
- Extreme attention to detail, ability to adjust on the fly, problem-solving skills, intellectual maturity, business acumen, proactivity and a great attitude
- Excellent writing, communication, and interpersonal skills
- Ability to work efficiently both solo and as part of a team
- Must be a proactive, self-starter, and team player
- Allocation in Costa Rica or Mexico

**Responsibilities**:

- Draft and negotiate commercial contracts, including MSAs, SOWs, NDAs, DPAs and other agreements with clients and vendors
- Assist with compliance and corporate governance matters for our LATAM businesses
- Assist with federal, state and local registrations and filings
- Develop programs and policies for corporate governance, compliance, employment, contracting etc.
- Support the legal contract management process by tracking contract status, prioritizing contracts for review, and processing executed contracts in accordance with department procedures
- Maintain efficient and effective legal filing systems and manage retention of electronic and paper documents (e.g.
contracts, NDAs, and other key documents)
- Identify and help implement process improvements to policies and procedures
- Collaborate on team initiatives and other special projects
- Provide general legal support to the global business, while interacting cross-functionally with other departments and outside counsel
- Support merger and acquisition activities, financings, investments and other special corporate projects
- Assist in responding to requests for information and documents from our internal and external auditors, regulators, partners, and other stakeholders
